Under the Scheme of Arrangement between The BOC Group plc and the Scheme Shareholders, the opportunity to elect to receive Linde AG Loan Notes was offered as an alternative to receipt of the cash consideration of 1600p per share.
Loan Note certificates were dispatched to holders on or around 19 September 2006 by post to the address registered with Equiniti (Registrar of the Linde Loan Notes).
Interest Payments
Interest on the Loan Notes was due at 0.75% below the six month Sterling LIBOR rate in accordance with the Loan Note Instrument. The six month Sterling LIBOR rate at 1 July 2013 was 0.59988%, so the interest payment would have been negative 0.15012% at 31 December 2013. Consequently, no interest payment was made.
Final Redemption Date
The final redemption date for the Loan Notes was 31 December 2013. To enable the Company to make the repayment on 31 December 2013, Loan Note Holders were requested to complete the Notice of Redemption on the reverse of the Loan Note certificates and return them to the Registrar by 13 December 2013. Until Loan Note certificates with a validly completed Notice of Redemption have been lodged with the Registrar, Linde cannot make the repayment of the monies due to Loan Noteholders. Once your Loan Note certificates with a validly completed Notice of Redemption have been received by the Registrar, the cheque will be sent out as soon as possible.
